Constitution of the Regimental Association

  1. TITLE
    1. 101 (City of London) Engineer Regiment (EOD) (Volunteers) Regimental Association.

  2. OBJECTIVES
    1. To maintain esprit de corps amongst all who have served together, to provide amenities and organise social functions and reunions and last, but not least, to help ex-members, and more importantly, widows and orphans who might be in distress1.
    2. To promote the efficiency of the Regiment and the Army by:
      1. Fostering esprit de corps, comradeship and the welfare of the Regiment and preserving its traditions; and
      2. Maintaining contact between past and present members of the Regiment, fostering mutual friendship between them and providing for social gatherings for them; and
      3. Make financial contributions to the Royal Engineers Central Charitable Trust to be used for benevolence and welfare of past and current serving members of the Corps of Royal Engineers.
      4. In exceptional circumstances, relieve individual members of the Association or past and present members of the Regiment and their widows and dependants who are in need, hardship or distress.
      5. In furtherance of these Objects but not otherwise the Association through the Committee shall have the following powers;
        1. to take all necessary action for publishing and disseminating information concerning the histories, deeds and traditions of the Regiment and for aiding the Commanding Officer in the encouragement of recruiting;
        2. to execute and administer charitable trusts which the Association shall decide to establish from time to time;
        3. to receive, take and accept any gifts of property, whether subject to any special trust or not;
        4. to receive and accept contributions by way of subscriptions, donations or otherwise and to raise funds for the said Object provided that the Association shall not undertake any permanent trading activities concerned solely with the said raising of funds;
        5. to assist distressed and needy beneficiaries and their dependants by way of grants, gifts, or otherwise;
        6. to pay for any such items, services or facilities by way of donations or subscriptions to charitable institutions or organisations which provide which undertake in return to provide such items, services or facilities for distressed and needy beneficiaries;
        7. subject to such consents as may from time to time be required by law, to purchase, take, lease or exchange any property required for the purposes of the Association and lease, exchange or otherwise dispose of the same;
        8. subject to such consents as may from time to time by required by law, or raise money for the purpose of the Association on such terms and such security as may be thought fit;
        9. to invest funds and property of the Association for use for purpose of the Association in such investments as may from time to time be authorised by law;
        10. to accumulate funds of the Association for such period as may from time to time be authorised by the law; and
        11. to do all other things as shall be necessary for the attainment of the said Objects;
        12. to make contributions to suitable charitable bodies/trusts that are in accord with the Regimental Associations benevolent objectives.

  3. MEMBERSHIP
    1. Membership shall be open to the following:
      1. All past, present and future members, TA, Regular, Non Regular Permanent Staff and Civil Servants of 101 Engr Regt (EOD) (V), 217 Fd Sqn (EOD) (V), 221 Fd Sqn (EOD) (V), 579 Fd Sqn (EOD) (V) and 101 Engr Regt (EOD) LAD REME (V).
      2. All past members of any disbanded TA EOD Squadrons or 101 Engr Regt (EOD) LAD REME (V).
      3. All future members of any TA EOD Squadrons that should be formed in the future whether part of 101 Engr Regt(EOD) (V) or established as part of any other Regiment within the Corps of Royal Engineers.
    2. The committee shall have the authority to open membership to other individuals, TA, Regular, Non Regular Permanent Staff and Civil Servants, who have a close association with TA Bomb Disposal. The exercise of this authority shall be ratified at the following Annual General Meeting.

  4. SUBSCRIPTIONS
    1. Association Fund. Such sums that are periodically agreed by the Committee and are considered a fair annual levy to maintain the health of the fund. For this a member receives a copy of the Regimental Journal, Newsletters and other communications.

  5. REGIMENTAL BENEVOLENCE
    1. Benevolence within the Corps of Royal Engineers is administered by the Royal Engineers Association (REA) on behalf of the Royal Engineers Central Charitable Trust.
    2. The REA receives a significant amount of its funding for benevolence and welfare activities from the Royal Engineers Central Charitable Trust.
    3. The Regimental Association will contribute a proportion of the excess of income over expenditure to the Royal Engineers Central Charitable Trust annually to contribute to the benevolence and welfare activities of the Corps. The amount to be to be contributed will be determined by the officers of the Regimental Association taking into account the anticipated future liabilities of the Regimental Association.
    4. The Regimental Association will in exceptional circumstances provide financial relief to individual members of the Association or past and present members of the Regiment and their widows and dependants who are in need, hardship or distress. All past, present and future members of the Regiment (TA, Regular, Non Regular Permanent Staff and Civil Servants) automatically qualify for consideration for relief. Assistance is not contingent on subscribing. Additionally, all past members (TA, Regular, Non Regular Permanent Staff and Civil Servants) of disbanded TA EOD squadrons and future members (TA, Regular, Non Regular Permanent Staff and Civil Servants) of any future TA EOD squadrons qualify for consideration. Assistance is not contingent on subscribing.
    5. The Committee of the Association will be the authority for any direct benevolence relief.

  6. COMMITTEE
    1. There will be one Committee which will cover both the Executive and Benevolent work of the Association. The Committee is to be chaired by the Chairman and the following members will be elected onto the committee annually at the AGM.
    2. The Committee will consist of six elected members, as follows:
      1. President - Honorary Colonel of the Regiment
      2. Chairman - Volunteer to be elected.
      3. Treasurer - Volunteer to be elected
      4. Secretary - Volunteer to be elected
      5. Membership Secretary - Volunteer to be elected
      6. Two Non Serving Members - To be elected at the AGM
    3. There will be five non elected members, as follows:
      1. Commanding Officer - (ex-officio - non voting)
      2. RSM - (ex-officio)
      3. WO/SNCO - (ex-officio - to be nominated annually by the Commanding Officer and approved by the committee)
      4. JNCO - (ex-officio - to be nominated annually by the Commanding Officer and approved by the committee)
      5. Sapper / Private / Craftsman - (ex-officio - to be nominated annually by the Commanding Officer and approved by the committee)
    4. Responsibilities of the Committee will include:
      1. Election of Members, Organisation of Reunion Dinners and other social activities.
      2. Maintenance of the Association Accounts and Trust Funds.
      3. Benevolence
    5. The Committee is to meet at least twice annually and minutes of meetings are to be circulated to all members of the Committee and any other members of the association upon request. Video / Electronic Conferencing is permissible.
    6. The Annual General Meeting of the Association shall be held annually at which the members of the Committee are appointed.
    7. Extraordinary General Meeting of the Association shall be called at the written request of any twenty subscribing members. At least 21 days notice shall be given to the Secretary of the Association.

  7. ALTERATION TO RULES OF THE ASSOCIATION

    1. Alteration to these Rules shall receive the assent of two-thirds of the members present and voting at an Annual General Meeting or an Extraordinary General Meeting.
    2. A resolution for the alteration of the Rules must be received by the Secretary of the Association at least 21 days before the meeting at which the resolution is to be brought forward.
    3. At least 21 days notice of such a meeting must be given by the Secretary to the membership and must include notice of the alteration proposed.
    4. Provided that no alteration shall be made to Rule 2 (objectives), or Rule 8 (dissolution), this Rule shall take effect until the approval in writing of the Charity Commissioners shall have been obtained; and no alteration shall be made which would have the effect of causing the Association to cease to be a charity in law.

  8. DISSOLUTION

    1. The Association may be dissolved by a Resolution passed by a two-thirds majority of those present and voting at an Extraordinary General Meeting convened for the purpose of which 21 days notice shall have been given to the members.
    2. Such resolution may give instructions for the disposal of any assets held by or in the name of the Association, provided that if any property remains after the satisfaction of all debts and liabilities such property shall not be paid to or distributed among the members of the Association but shall be given or transferred to such other charitable institution or institution having objects similar to some or all of the objects of the Association as the Association may determine and if and in so far as effect cannot be given to this provision then to some other charitable purpose.
